1. Acceptance of Terms

By accessing and using the services provided by Aurea Advisors Ltd ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Aurea Advisors Ltd provides strategic advisory services, including but not limited to:

• Market entry and opportunity analysis
• Competitor and regulatory intelligence
• Strategic partner due diligence
• Political and operational risk mapping
• Strategic consulting and advisory services

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for our services
• Cooperate in good faith with our team
• Pay all fees and expenses as agreed upon
• Respect intellectual property rights
• Use our services in compliance with applicable laws

4. Confidentiality

We understand the sensitive nature of strategic business information. Both parties agree to maintain strict confidentiality regarding:

• All proprietary business information shared during our engagement
• Strategic plans, financial data, and competitive intelligence
• The existence and nature of our professional relationship
• All deliverables and recommendations provided

This confidentiality obligation survives the termination of our services.

5. Intellectual Property

All methodologies, frameworks, and proprietary processes used by Aurea Advisors remain our intellectual property. Client-specific deliverables and reports become the property of the Client upon full payment of fees.

6. Fees and Payment Terms

• Fees are as specified in individual service agreements
• Payment terms are typically 30 days from invoice date unless otherwise agreed
• Late payments may incur additional charges
• All fees are non-refundable unless otherwise specified

7. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided on an "as is" basis
• We make no warranties regarding the accuracy or completeness of information obtained from third parties
• Our total liability shall not exceed the fees paid for the specific services in question
• We are not liable for indirect, consequential, or punitive damages

8. Professional Standards

Our services are provided in accordance with professional standards applicable to strategic advisory services. However, business decisions remain solely with the Client, and we are not responsible for the outcomes of such decisions.

9. Termination

Either party may terminate services with written notice. Upon termination:

• All outstanding fees become immediately due
• Confidentiality obligations remain in effect
• We will provide completed work product upon payment
• Both parties will return confidential materials

10. Governing Law

These Terms are governed by the laws of the Commonwealth of the Bahamas. Any disputes shall be resolved through binding arbitration in the Bahamas, unless otherwise agreed in writing.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or other unforeseeable events.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with any signed service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our services constitutes acceptance of modified Terms.
